Great opportunity to acquire one of the approximately 32 remaining “Legacy Licenses” in New Mexico, which allow (a) Full production of maximum allowable plant count, (b) Unlimited retail sites, (c)State wide delivery license and (d) In house extraction and manufacturing. This fully integrated cannabis company has three well located retail sites and is working to open additional sites near the Texas border. Retail sales have increased significantly since April 2022 when Rec sales were approved. In preparation for Rec, Seller increased its capacity to produce its award winning flower, which is sold in its dispensaries. Demand for its wholesale flower from other operators is extremely high and not all requests can be fulfilled. Seller is currently cultivating a total of 4,800 plants, and is awaiting regulatory approval to increase its plant count, capped at 20,000 for legacy license holders. Seller has an indoor cultivation facility, greenhouses and a processing facility for concentrates and other products; outdoor cultivation can be added. During 2022, Seller expects to produce approximately 7,000 pounds of flower. Facilities include (a) a 15,000 sq. ft. Indoor Cultivation and Processing Facility with 11,000 sq. ft. of grow, curing, processing facilities, (b) a Dutch Greenhouse, Natural Light Greenhouse and Outdoor Farm on a 5 acre property with approximately 45,000 square feet of grow, curing, processing facilities and (c) 3 well located dispensaries, each with at least 1500 sq. ft. of retail space. The retail dispensary locations are leased but real estate for the cultivation and facilities are available for lease or purchase from Seller at market. This privately owned company, with no debt, has reinvested all of its profit to date on expansion and remodeling of its cultivation, manufacturing and retail facilities and brand development in preparation for the recently approved Rec Market. Coupled with the expansion of its retail stores, Seller is poised for strong growth in the New Mexico cannabis market. NDA and POF required.
