Receivership sales can offer buyers a cleaner path to ownership than a conventional transaction. Subject to the court-approved sale terms, assets may be transferred free and clear of certain existing liens, claims, and liabilities, with those obligations generally remaining with the receivership estate rather than following the buyer. License Structure:
The operation currently utilizes a third-party license under a lease arrangement. The existing license is expected to transition to a new license holder within the next 3–4 weeks. The Receiver is currently negotiating with the two prospective license holders, with the anticipated new license agreement expected to be approximately $25,000 per month. The new agreement is being structured to allow a qualified buyer to assume or continue the license arrangement, subject to satisfying the applicable licensing requirements and approval process. Accordingly, the opportunity is expected to include continued access to an operating license through the lease arrangement; however, the license itself is not owned by the selling entity.
