1. Entity Substitution via Modification – the buyer’s entity is substituted in as the license holder of record using a modification filing on the existing licensing record.
2. Relocation via Modification – a modification application jointly is filed with the entity substitution referenced above with the City of Los Angeles to relocate the license to the buyer’s chosen address.
Because the license has never operated, the buyer takes on a clean slate with no legacy compliance issues, back taxes, or operational baggage tied to the license.

Federal cannabis policy is moving faster than it has in decades, and the window to secure a foothold ahead of that shift is narrowing:
• In April 2026, the DOJ placed state-licensed medical cannabis into Schedule III of the Controlled Substances Act, and directed the DEA to restart formal rulemaking on rescheduling cannabis more broadly from Schedule I to Schedule III.
• The DEA’s expedited administrative hearing on broader rescheduling began June 29, 2026, and is the most significant near-term catalyst for the industry to watch.
• Historically, regulatory tailwinds like this tend to increase competition and pricing for scarce, already-approved licenses in major markets. Buyers who move before broader rescheduling is finalized may be positioned ahead of a wave of new entrants and increased valuations.
